The termsof theGPLwillcontrolsolely withrespect to theGPLComponentsto theextent that thisEULA conflictswith the requirements of theGPLwith respect toyouruseof theGPL Components,and, insuchevent,youagreetobe boundbytheGPLwithrespecttoyouruseofsuch components.
Section 7. Audit. Synologywillhavetheright to audityourcompliancewiththetermsofthisEULA. YouagreetograntaccesstoSynologytofacilities, equipment,books, recordsanddocumentsand to otherwise reasonablycooperatewithSynology in ordertofacilitateanysuchaudit.
Section 8. Ownership. TheSoftware isvaluable property of Synology and its licensors and is protected by copyright and other intellectual propertylawsandtreaties.Synologyoritslicensors ownallright,titleandinterestinandtotheSoftware andall copyrightandother intellectualproperty rightsintheSoftware.
Section 9. Limited Warranty. Synologywarrants that foraperiodofninety (90)daysaftereither your (a) installationof theSoftwareonProducts that do not include pre-installed Software or (b) useof aProduct that includespre-installed Software,asapplicable,(the"WarrantyPeriod"),the Softwarewillsubstantiallyconform toSynology's publishedspecifications for theSoftware, ifany, orotherwiseset forthon theWebSite. Section 17. Assignment. Youmaynot transfer orassignyourrightsunder thisEULAtoany third party. Anysuchtransferorassignment inviolation oftheforegoingrestrictionwillbevoid.
Section 18. Applicable Law. Unlessexpressly prohibitedby local law, thisEULA is governed by the lawsof theStateofWashington,U.S.A. withoutregardtoanyconflictoflawprinciplestothe contrary. The1980U.N.ConventiononContracts fortheInternationalSaleofGoodsoranysuccessor theretodoesnotapply.
Section 19. Dispute Resolution. Section 20. Attorneys' Fees. Inanyarbitration, mediation,orother legalactionorproceeding to enforce rightsor remediesunder thisEULA, the
prevailingpartywillbeentitledtorecover,inaddition toanyotherrelieftowhichitmaybeentitled,costs andreasonableattorneys'fees.
Section 21. Severability. Ifanyprovisionof this EULAisheldbyacourtofcompetentjurisdictionto be invalid, illegal,orunenforceable, theremainder ofthisEULAwillremaininfullforceandeffect.
Section 22. Entire Agreement. This EULA sets forth theentireagreementofSynologyand youwith respect to theSoftwareand thesubject matter hereof and supersedes al l prior and contemporaneousunderstandingsandagreements whether wr i t ten o r o ra l . (f) "Product"meansaCategory IProduct,Category IIProduct,Category IIIProduct,orCategory IV Productandanyhardware incorporated into the product by Synology and any accompanying documentation.(g)"Software"meanstheSynology proprietarysoftwarethataccompaniestheProduct when purchased byCustomer, is downloaded byCustomerat theWebSite,or ispre-installed on theProduct bySynology, and includesany firmware,associatedmedia, images,animations, video,audio,textandapplets incorporatedintothe softwareorProductandanyupdatesorupgrades tosuchsoftware. (h)"WarrantyPeriod"means:(i) theperiodcommencingonthedatetheProduct is purchasedbyCustomerandending(1)fiveyears aftersuchdate forCategory IProducts; (2) three yearsaftersuchdateforCategoryIIProducts;or(3) twoyearsaftersuchdateforCategoryIIIProducts; or (ii) oneyearafter suchdate forCategory IV Products. (i) "WebSite"means theSynologyweb sitelocatedatwww.synology.com.
Section 2. Limited Warranty and Remedies 2.1 Limited Warranty. Subject toSection2.7, Synologywarrants toCustomer thateachProduct (a)willbefreeofmaterialdefects inworkmanship and(b)undernormalusewillperformsubstantially in accordance w i th Syno logy 's pub l i shed specifications for theProductduring theWarranty Period.SynologywarrantstheSoftwareassetforth in theaccompanyingenduser licenseagreement providedwiththeProduct,ifany.
2.2 Product Registration. Customersmay registerProductswithSynologyandmayobtain themanufacturingdate forCategory IProducts, Category IIProductsandCategory IIIProductsat theWebSite. Thefailure toregisteraProductat theWebSitewillnotdiminish thewarranty rights
setforthinSection2.1.Synologyisnotresponsible forCustomer's failureto identify themanufacturing dateofanyProduct.
2.3 Exclusive Remedy. If Customer gives noticeofnoncompliancewithanyofthewarranties set forth in Section 2.1within the applicable WarrantyPeriod in themanner set forthbelow, then,uponverificationof thenoncomplianceby Synology,Synologywill, atSynology's option: (a)usecommercially reasonableefforts to repair theProduct, or (b) replace the noncomplying Productorpartthereofuponreturnofthecomplete Product in accordancewith Section 2.4 The foregoingsets forthSynology'sentire liabilityand Customer's sole andexclusive remedy for any breachofwarrantyunderSection2.1oranyother defect or deficiency in theProduct. Customer will reasonablyassistSynology todiagnoseand validateanynonconformitywith theProduct. The warrantyset forth inSection2.1doesnot include: (1) anywarranty relating to theSoftware; (2) physical installation or removal of theProduct fromCustomer'ssite; (3)visits toCustomer'ssite; (4) labornecessary toeffect repairsor replace defectivepartsother thanduringSynology'sor its contracted service providers' normal local businesshours,exclusiveofweekendsandservice providersholidays;(5)anyworkwithanythirdparty equipmentorsoftware;(6)anywarrantyofthehard diskifinstalledbyCustomeroranyotherthirdparty; or (7)anywarrantyofcompatibilitywith thehard disk.
2.4 Return.AnyProductreturnedbyCustomer underSection 2.3must be assigned aReturn MerchandiseAuthorization ("RMA") number by Synologybeforeshipmentandmustbe returned inaccordancewithSynology's thencurrentRMA procedures.Customermaycontactanyauthorized SynologydistributororresellerorSynologySupport to obtainassistance in obtaininganRMA,and mustprovideproofofpurchaseandproductserial numberwhenasking for suchassistance. For warrantyclaims,Customermustreturnthecomplete ProducttoSynologyinaccordancewiththisSection 2.4tobeeligibleforcoverageunderthisWarranty. AnyProduct returnedwithoutanRMAnumber,or anyProduct thathasbeendisassembled (except underthedirectionofSynology)willberefusedand returnedtoCustomeratCustomer'sexpense.Any Product thathasbeenassignedaRMAnumber mustbereturned in thesameconditionas itwas receivedfromSynologyto theaddressdesignated bySynology,freightpre-paid,inpackagingsufficient toprotect thecontents thereofandwith theRMA
numberprominentlydisplayedontheoutsideofthe box.Customerisresponsibleforinsuranceandrisk of losswithrespecttoreturneditemsuntil theyare properly receivedbySynology. AProduct issued aRMAnumbermustbereturnedwithinfifteen(15) daysafterissuanceoftheapplicableRMAnumber.
2.5 Replacement by Synology. IfSynology elects toreplaceanyProductunder thisWarranty set forth inSection2.1, thenSynologywillshipa replacementProductatSynology'sexpensevia theshippingmethodselectedbySynologyafter receipt of thenonconformingProduct returned inaccordancewithSection2.4andvalidationby Synology that theProductdoesnot conform to thewarranty. ReplacementProductwillbenew orserviceablyused,comparable in functionand performancetotheoriginalProductandwarranted for the remainderof theoriginalWarrantyPeriod or thirty (30)daysafter it isshipped toCustomer, whicheverperiod is longer AnyProduct foundby Synology tobenon-defectivewillbe returned to Customer.
2.6 Support. During theWarranty Period, Synologywillmake available toCustomer the supportservices.Following theexpirationof the applicableWarrantyPeriod,support forProducts may be available fromSynology uponwritten request.
2.7 Exclusions. Theforegoingwarrantiesand warrantyobligationsdonotapply toanyProduct that(a)hasbeeninstalledorusedinamannernot specifiedordescribedintheProductspecifications; (b)hasbeenrepaired,modifiedoralteredbyanyone other thanSynologyor itsagentordesignee; (c) hasbeeninanywaymisused,abused,ordamaged; (d) has been usedwith items not provided by Synologyother than thehardwareorsoftware for which theProduct isdesigned;or (e)otherwise fails toconformto theProductspecificationsand such failure isattributable tocausesnotwithinor underSynology'scontrol. Further, the foregoing warrantieswillbevoidif(1)Customerdisassembles theProductexceptasauthorizedbySynology; (2)Customer fails to implementanycorrection, modification,enhancement, improvementorother updatemadeavailable toCustomerbySynology; or (3)Customer implements, installsorusesany correction,modification,enhancement,improvement orotherupdatemadeavailablebyanythirdparty. Thewarrantyset forth inSection2.1will terminate uponCustomer'ssaleortransferoftheProducttoa thirdparty.
2.8 D i s c l a i m e r o f Wa r r a n t i e s . THE WARRANTIES,OBLIGATIONS,ANDLIABILITIES OF SYNOLOGYAND THE REMEDIES OF CUSTOMERSETFORTH INTHISWARRANTY ARE EXCLUSIVEAND IN SUBSTITUTION FOR,AND CUSTOMER HEREBYWAIVES, RELEASESAND DISCLAIMS,ALL OTHER WARRANTIES,OBLIGATIONSANDLIABILITIES OF SYNOLOGYANDALL OTHER RIGHTS, CLAIMSAND REMEDIES OF CUSTOMER AGAINSTSYNOLOGY,EXPRESSOR IMPLIED, ARISING BY LAWOR OTHERWISE,WITH RESPECTTOTHEPRODUCT,ACCOMPANYING
DOCUMENTATIONORSOFTWAREANDANY OTHERGOODSORSERVICESDELIVERED UNDER TH IS WARRANTY, INCLUD ING , BUT NOT LIMITED TOANY: (A) IMPLIED WARRANTY OF MERCHANTABIL ITY OR FITNESSFORAPARTICULARPURPOSEOR USE; (B) IMPLIEDWARRANTYARISINGFROM COURSEOFPERFORMANCE,COURSEOF DEALING,ORUSAGEOFTRADE; (C)CLAIM OF INFRINGEMENTORMISAPPROPRIATION; OR(D)CLAIMINTORT(WHETHERBASEDON NEGLIGENCE,STRICTLIABILITY,PRODUCT LIABILITYOROTHERTHEORY). Section 3. Limitations of Liability 3.1 Force Majeure. Synologywillnotbe liable for,orbeconsidered tobe inbreachofordefault under thisWarrantyonaccountof,anydelayor failure toperformas requiredby thisWarranty asa resultofanycauseorconditionbeyond its reasonablecontrol(including,withoutlimitation,any actorfailuretoactbyCustomer).
3.2 Disclaimer of Certain Damages. INNO EVENTWILLSYNOLOGYORITSSUPPLIERSBE LIABLEFORTHECOSTOFCOVERORFORANY INCIDENTAL, INDIRECT,SPECIAL,PUNITIVE, CONSEQUENTIALORSIMILARDAMAGESOR LIABILITIESWHATSOEVER (INCLUDING,BUT NOTLIMITEDTOLOSSOFDATA,INFORMATION, REVENUE,PROFITORBUSINESS)ARISINGOUT OFORRELATINGTOTHEUSEOR INABILITY TOUSETHEPRODUCT,ANYACCOMPANYING DOCUMENTATIONORSOFTWAREANDANY OTHERGOODSOR SERVICES PROVIDED UNDERTHISWARRANTY,WHETHERBASEDON CONTRACT,TORT(INCLUDINGNEGLIGENCE), STRICTLIABILITYOROTHERTHEORYEVEN IFSYNOLOGYHASBEENADVISEDOFTHE POSSIBILITYOFSUCHDAMAGES.
3.3 Limitation of Liability. SYNOLOGY'S AND ITSSUPPLIERS'LIABILITYARISINGOUT OFORRELATINGTOTHEUSEOR INABILITY TOUSETHEPRODUCT,ANYACCOMPANYING DOCUMENTATIONORSOFTWAREANDANY OTHERGOODSOR SERVICES PROVIDED UNDERTHISWARRANTY ISLIMITEDTOTHE AMOUNTACTUALLY PAID BY CUSTOMER FORTHEPRODUCTREGARDLESSOFTHE AMOUNTOFDAMAGESCUSTOMERMAYINCUR ANDWHETHERBASEDONCONTRACT,TORT (INCLUDINGNEGLIGENCE),STRICTLIABILITY OROTHERTHEORY.Theforegoingdisclaimerof certaindamagesandlimitationof liabilitywillapply tothemaximumextentpermittedbyapplicablelaw. The lawsofsomestates/jurisdictionsdonotallow
exclusionor limitationofcertaindamages. Tothe extent that those lawsapply to theProduct, the exclusionsand limitationsset forthabovemaynot applytoCustomer.
Section 4. Miscellaneous 4.1 Proprietary Rights. The Product and anyaccompanyingSoftwareanddocumentation providedwith theProduct includeproprietaryand intellectualpropertyrightsofSynologyanditsthird partysuppliersandlicensors.Synologyretainsand reservesallright,title,andinterestintheintellectual property rightsof theProduct,andno title toor ownershipofany intellectualproperty rights inor to theProduct, anyaccompanyingSoftwareor documentationandanyothergoodsprovidedunder thisWarranty istransferredtoCustomerunderthis Warranty. Customerwill (a)complywiththeterms andconditionsof theSynologyenduser license agreementaccompanyinganySoftware furnished bySynologyoranauthorizedSynologydistributor orreseller;and(b)notattempttoreverseengineer anyProductorcomponentthereoforaccompanying Softwareorotherwisemisappropriate,circumventor violateanyofSynology'sintellectualpropertyrights.
4.2 Assignment. Customerwillnotassignany ofitsrightsunderthisWarrantydirectly,byoperation oflaworotherwise,withoutthepriorwrittenconsent ofSynology.
4.3 No Additional Terms.Exceptasexpressly permittedby thisWarranty,neitherpartywill be boundby,andeachpartyspecificallyobjects to, anyterm,conditionorotherprovisionthatconflicts with theprovisionsof thisWarranty that ismade by theotherparty inanypurchaseorder, receipt, acceptance, confirmation, correspondence or otherwise,unlesseachpartyspecificallyagreesto suchprovision inwriting. Further, if thisWarranty conflictswithany termsorconditionsofanyother agreemententered intobythepartieswithrespect totheProduct,thisWarrantywillprevailunlessthe otheragreementspecificallyreferencesthesections ofthisWarrantythatitsupersedes.
4.4 Appl icable Law. Un less express ly prohibitedby local law, thisWarranty isgoverned by the lawsof theStateofWashington,U.S.A. withoutregardtoanyconflictoflawprinciplestothe contrary. The1980U.N.ConventiononContracts fortheInternationalSaleofGoodsoranysuccessor theretodoesnotapply.
4.5 D ispute Resolu t ion . Any d i spu te , controversyorclaimarisingoutofor relating to thisWarranty, theProductor servicesprovided bySynologywith respect to theProductor the relationshipbetweenCustomers residingwithin theUnitedStatesandSynologywillbe resolved exclusively and finally by arbitration under the currentcommercialrulesoftheAmericanArbitration Association,exceptasotherwiseprovidedbelow. Thearbitrationwillbeconductedbeforeasingle arbitrator,andwillbe limitedsolely to thedispute betweenCustomerandSynology. Thearbitration, oranyportionof it,willnotbeconsolidatedwith anyotherarbitrationandwillnotbeconductedon aclass-wideorclassactionbasis.Thearbitration
shallbeheld inKingCounty,Washington,U.S.A. bysubmissionofdocuments,by telephone,online or inpersonasdeterminedbythearbitratorat the requestof theparties.Theprevailingparty inany arbitrationorlegalactionoccurringwithintheUnited Statesor otherwise shall receiveall costs and reasonableattorneysfees,includinganyarbitration fee paid by the prevailing party.Any decision rendered insucharbitrationproceedingswillbe final andbindingon theparties, and judgment maybeenteredthereon inanycourtofcompetent jurisdiction.Customer understands that, in the absenceofthisprovision,Customerwouldhavehad aright to litigateanysuchdispute,controversyor claiminacourt,includingtherighttolitigateclaims onaclass-wideorclass-actionbasis,andCustomer expresslyandknowinglywaives those rightsand agrees to resolveanydisputes throughbinding arbitration inaccordancewiththeprovisionsofthis Section4.5.ForCustomersnotresidingwithinthe UnitedStates,anydispute,controversyorclaim describedinthissectionshallbefinallyresolvedby arbitrationconductedby threeneutralarbitrators inaccordancewith theproceduresof theR.O.C. ArbitrationLawandrelatedenforcementrules.The arbitrationshalltakeplaceinTaipei,Taiwan,R.O.C., andthearbitrationproceedingsshallbeconducted inEnglishor, ifbothpartiessoagree, inMandarin Chinese.Thearbitrationawardshallbe finaland bindingonthepartiesandmaybeenforcedinany courthaving jurisdiction. Nothing in thisSection shallbedeemed toprohibitor restrictSynology fromseekinginjunctiverelieforseekingsuchother rightsandremediesasitmayhaveatlaworequity foranyactualorthreatenedbreachofanyprovision of thisWarranty relating toSynology's intellectual propertyrights.
4.6 Attorneys' Fees. In any arb i t ra t ion, mediation,orother legalactionorproceeding to enforcerightsorremediesunderthisWarranty,the prevailingpartywillbeentitledtorecover,inaddition toanyotherrelieftowhichitmaybeentitled,costs andreasonableattorneys'fees.
4.7 Export Restrictions. Youacknowledge that theProductmaybesubject toU.S.export restrictions.Youwillcomplywithallapplicablelaws andregulationsthatapplytotheProduct, including without limitation theU.S.ExportAdministration Regulations.
4.8 Severability. I f any provision of this Warrantyisheldbyacourtofcompetentjurisdiction tobeinvalid,illegal,orunenforceable,theremainder ofthisWarrantywillremaininfullforceandeffect.
4.9 En t i re Agreement . Th i s War ran t y constitutes theentireagreement,andsupersedes anyandallprioragreements,betweenSynology andCustomerrelatedtothesubjectmatterhereof. Noamendment,modificationorwaiverofanyofthe provisionsof thisWarranty
